From startup to corporation

We are specialised in setting up businesses in light of liability, tax and co-determination considerations under the law, drafting articles of incorporation, by-laws and any shareholder agreements (eg syndicate agreements) and providing ongoing support to companies – for instance when articles of incorporation need to be amended, shareholder structures have to be modified or corporate action needs to be taken. We also provide advice to management board members, business managers and supervisory board members, prepare and assist in shareholders’ and general meetings and present clients in corporate law disputes (eg disputes between shareholders, challenges to resolutions).

Moreover, we help clients draft commercial contracts (eg supply contracts) and their general terms and conditions.
