Among other things, this could result in changes to the notification thresholds in merger control and a proposal to give greater consideration to ecological aspects in the enforcement of antitrust laws. At a European level, the Commission launched <a href=\"https:\/\/ec.europa.eu\/digital-single-market\/en\/digital-services-act-package\" target=\"_blank\" rel=\"noreferrer noopener\">two legislative initiatives<\/a> to regulate digital markets just before the turn of the year. They will be discussed by the European Council and Parliament this year. The goal is to facilitate the participation of employees and to have an easier transferability of shares. These changes could bring a new legal form \u2013 the Austrian Limited &#8211; but also innovations \/ improvements regarding private companies with limited liability and joint stock corporations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In 2021, general meetings will increasingly take place online. Furthermore, the possibility of creating notarial deeds digitally, which was created in 2020 due to the COVID pandemic, will also become more and more popular. Furthermore, there will be stricter standards imposed by the \u201c<a href=\"https:\/\/www.fma.gv.at\/download.php?d=4797\" target=\"_blank\" rel=\"noreferrer noopener\">EBA guidelines on loan origination and monitoring<\/a>&#8221; in the future.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<div style=\"height:1px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">Insolvency law \u2013 \u201cZombie Companies\u201d and an approaching bankruptcy wave?<\/h2>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"alignright\"><a href=\"https:\/\/www.haslinger-nagele.com\/team\/thomas-kurz\/\" rel=\"noopener\"><img decoding=\"async\" src=\"https:\/\/www.haslinger-nagele.com\/wp-content\/uploads\/2020\/10\/KurzThomas_komprimiert-250x250.jpg\" alt=\"Thomas Kurz\" class=\"wp-image-7816\"\/><\/a><figcaption class=\"wp-element-caption\"><a href=\"https:\/\/www.haslinger-nagele.com\/en\/team\/thomas-kurz\/\" target=\"_blank\" rel=\"noreferrer noopener\">Thomas Kurz<\/a>, Partner<\/figcaption><\/figure>\n<\/div>\n\n\n<p class=\"wp-block-paragraph\">The impacts of hard and partial lockdowns on the Austrian economy are enormous. The consequences are to be mitigated by state aid and legal measures, such as the recently renewed extension for the <a href=\"https:\/\/www.ris.bka.gv.at\/Dokumente\/BgblAuth\/BGBLA_2020_I_157\/BGBLA_2020_I_157.pdfsig\" target=\"_blank\" rel=\"noreferrer noopener\">suspension of the obligation to file for insolvency<\/a> until March 31st, 2021. It remains to be seen whether the sectors most significantly affected will manage to regain foothold or whether the government measures to promote so-called &#8220;Zombie Companies&#8221; (companies that would not have been viable even without the pandemic) will lead the way. Moreover, the implementation of the <a href=\"https:\/\/eur-lex.europa.eu\/legal-content\/DE\/TXT\/PDF\/?uri=CELEX:32019L1023\" target=\"_blank\" rel=\"noreferrer noopener\">EU Restructuring Directive<\/a> into national law will also be of interest. In the currently pending infringement proceedings against Austria, the ECJ will deal with an illegal direct award accused by the European Commission and recently confirmed by the responsible Advocate General (<a href=\"http:\/\/curia.europa.eu\/juris\/document\/document.jsf?text=&amp;docid=232742&amp;pageIndex=0&amp;doclang=DE&amp;mode=lst&amp;dir=&amp;occ=first&amp;part=1&amp;cid=22270103\" target=\"_blank\" rel=\"noreferrer noopener\">C-537\/19, Wiener Wohnen<\/a>). Moreover, it can be assumed that the ECJ will again deal with the issue of \u201cself-cleaning\u201d (<a href=\"http:\/\/curia.europa.eu\/juris\/document\/document.jsf?text=&amp;docid=231209&amp;pageIndex=0&amp;doclang=DE&amp;mode=req&amp;dir=&amp;occ=first&amp;part=1\" target=\"_blank\" rel=\"noreferrer noopener\">C-387\/19, RTS infra<\/a>).<\/p>\n\n\n\n<div style=\"height:1px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">Labor law \u2013 COVID-19 and home office<\/h2>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"alignright\"><a href=\"https:\/\/www.haslinger-nagele.com\/team\/fabian-blumberger\/\" rel=\"noopener\"><img decoding=\"async\" src=\"https:\/\/www.haslinger-nagele.com\/wp-content\/uploads\/2020\/10\/BlumbergerFabian_komprimiert-250x250.jpg\" alt=\"Fabian Blumberger\" class=\"wp-image-7805\"\/><\/a><figcaption class=\"wp-element-caption\"><a href=\"https:\/\/www.haslinger-nagele.com\/en\/team\/fabian-blumberger\/\" target=\"_blank\" rel=\"noreferrer noopener\">Fabian Blumberger<\/a>, Partner<\/figcaption><\/figure>\n<\/div>\n\n\n<p class=\"wp-block-paragraph\">Labor law will continue to be deeply influenced by the consequences of the COVID-19 pandemic, at least for the next few months. Besides a further extension of the special corona short-time work model, that is currently in force until the end of March 2021, a statutory rule on home office is eagerly awaited. Working from home, which has not yet been regulated by law, has grown in importance since the beginning of the pandemic. In addition to the question of whether there should be a right to work from home under certain conditions, issues of reimbursement of expenses, occupational safety and working time laws will have to be addressed by the legislator. The new regulations were originally announced for the end of March, most recently already for January 2021.<\/p>\n\n\n\n<div style=\"height:1px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">State aid law \u2013 COVID-19 and climate goals<\/h2>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"alignleft\"><a href=\"https:\/\/www.haslinger-nagele.com\/team\/martin-oder\/\" rel=\"noopener\"><img decoding=\"async\" src=\"https:\/\/www.haslinger-nagele.com\/wp-content\/uploads\/2018\/10\/Oder-Martin-min_900-250x250.jpg\" alt=\"Oder Martin | Haslinger \/ Nagele, Portrait: Julia Spicker\" class=\"wp-image-2511\"\/><\/a><figcaption class=\"wp-element-caption\"><a href=\"https:\/\/www.haslinger-nagele.com\/en\/team\/martin-oder\/\" target=\"_blank\" rel=\"noreferrer noopener\">Martin Oder<\/a>, Partner<\/figcaption><\/figure>\n<\/div>\n\n\n<p class=\"wp-block-paragraph\">State aid law will continue to be shaped by the COVID-19 pandemic, at least in the first half of the year. Although it should have already come into force on New Year&#8217;s Day and replaced the Green Electricity Act, there is still a lot to come. An ongoing EU state-aid proceeding is mainly to blame for this. Moreover, on January 1st, 2020, the amendment to the Emissions Certificate Act 2011 came into force. In Germany, such a law has been discussed for quite some time now, whereas in France and Great Britain it has already been implemented.<\/p>\n\n\n\n<div style=\"height:5px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">Banking and capital market law \u2013 digital offensive 2021<\/h2>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"alignleft size-full is-resized\"><img loading=\"lazy\" decoding=\"async\" src=\"https:\/\/www.haslinger-nagele.com\/wp-content\/uploads\/2023\/01\/FischerJohanna_HaslingerNagele_kompr.jpg\" alt=\"Fischer Johanna\" class=\"wp-image-13455\" width=\"250\" height=\"250\"\/><figcaption class=\"wp-element-caption\"><a href=\"https:\/\/www.haslinger-nagele.com\/en\/team\/johanna-fischer\/\" target=\"_blank\" rel=\"noreferrer noopener\">Fischer Johanna<\/a><\/figcaption><\/figure>\n<\/div>\n\n\n<p class=\"wp-block-paragraph\">The digital offensive, which has accelerated during the pandemic, is continuing: The amendment to the money laundering provisions of the Financial Markets Anti-Money Laundering Act (Fm-GwG), planned for the beginning of 2021, is intended to enable credit institutions to carry out their due diligence obligations in connection with money laundering by means of artificial intelligence technologies.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Furthermore, as part of the implementation of the Digital Finance Package, an evaluation of the second Payment Services Directive is to take place at the end of 2021 \u2014 changes in the Payment Services Act 2018 could follow. This applies in particular to the facilitation of instant payment systems, which are intended to enable payments in real time regardless of (bank) opening times.<\/p>\n\n\n\n<div style=\"height:1px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">Intellectual property law \u2013 design protection revised<\/h2>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"alignright\"><a href=\"https:\/\/www.haslinger-nagele.com\/team\/markus-gaderer\/\" rel=\"noopener\"><img decoding=\"async\" src=\"https:\/\/www.haslinger-nagele.com\/wp-content\/uploads\/2020\/10\/GadererMarkus_komprimiert-250x250.jpg\" alt=\"Markus Gaderer\" class=\"wp-image-7810\"\/><\/a><figcaption class=\"wp-element-caption\"><a href=\"https:\/\/www.haslinger-nagele.com\/en\/team\/markus-gaderer\/\" target=\"_blank\" rel=\"noreferrer noopener\">Markus Gaderer<\/a>, Partner<\/figcaption><\/figure>\n<\/div>\n\n\n<p class=\"wp-block-paragraph\">The European Commission is planning to revise the design protection (so-called \u201cregistered design\u201d). In terms of content, it will be clarified in more detail what can be protected as a design (e.g. the protectability of digital graphic user interfaces or the interior design), the scope of the registered design rights granted is to be broadened (e.g. to better combat the transit of counterfeit goods) and the list of restrictions is to be expanded (e.g. based on the more comprehensible catalog of restrictions in EU trademark law). In addition, the focus will be on the pricing system since a further harmonization within the internal market will be sought. Above all, the repair clause is to be implemented at national level.<\/p>\n\n\n\n<div style=\"height:1px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">Energy law \u2013 the year of renewable energies?<\/h2>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"alignleft size-full is-resized\"><img loading=\"lazy\" decoding=\"async\" src=\"https:\/\/www.haslinger-nagele.com\/wp-content\/uploads\/2023\/01\/KitzmuellerKaleb_HaslingerNagele_kompr.jpg\" alt=\"Kitzm\u00fcller Kaleb\" class=\"wp-image-13444\" width=\"250\" height=\"250\"\/><figcaption class=\"wp-element-caption\"><a href=\"https:\/\/www.haslinger-nagele.com\/en\/team\/kaleb-kitzmueller\/\" target=\"_blank\" rel=\"noreferrer noopener\">Kitzm\u00fcller Kaleb<\/a><\/figcaption><\/figure>\n<\/div>\n\n\n<p class=\"wp-block-paragraph\">The \u201csharing economy\u201d is to be incorporated more strongly in the energy industry this year. As part of the \u2013 somewhat delayed \u2013 Renewable Expansion Act, the so-called Renewable Energy Communities will be implemented into national law. Individuals, SMEs and local authorities will generate, store and consume energy from renewable sources regionally. Moreover, a non-discriminatory access to energy markets and an attractive funding system might result in an economic advantage. Interesting energy concepts and business models for municipalities, business parks and regions with a large number of similar structures (e.g. hotels) could result from this.<\/p>\n\n\n\n<div style=\"height:1px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">Contract law \u2013 farewell to legal transaction fees?<\/h2>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"alignright size-full is-resized\"><img loading=\"lazy\" decoding=\"async\" src=\"https:\/\/www.haslinger-nagele.com\/wp-content\/uploads\/2023\/01\/GothJulia_HaslingerNagele_kompr.jpg\" alt=\"Goth Julia\" class=\"wp-image-13459\" width=\"250\" height=\"250\"\/><figcaption class=\"wp-element-caption\"><a href=\"https:\/\/www.haslinger-nagele.com\/en\/team\/julia-goth\/\" target=\"_blank\" rel=\"noreferrer noopener\">Goth Julia<\/a><\/figcaption><\/figure>\n<\/div>\n\n\n<p class=\"wp-block-paragraph\">Last year, a bill was introduced (<a href=\"https:\/\/www.parlament.gv.at\/PAKT\/VHG\/XXVII\/A\/A_00351\/index.shtml\" target=\"_blank\" rel=\"noreferrer noopener\">351\/A<\/a>) which requested that legal transaction fees should be abolished without replacement. The reason for this was that the adequacy of legal transaction fees should be called into question, especially since they originally represented &#8220;paper consumption taxes&#8221;. The matter was assigned to the Justice Committee in February 2020, but no consultations have yet been started (which may be due to the current Corona crisis). The <a href=\"https:\/\/eur-lex.europa.eu\/legal-content\/DE\/TXT\/?uri=CELEX%3A02002L0058-20091219\" target=\"_blank\" rel=\"noreferrer noopener\">ePrivacy Directive<\/a> was supposed to be replaced by the <a href=\"https:\/\/eur-lex.europa.eu\/procedure\/DE\/2017_3\" target=\"_blank\" rel=\"noreferrer noopener\">ePrivacy Regulation<\/a> and should have come into force at the same time as the <a href=\"https:\/\/eur-lex.europa.eu\/legal-content\/DE\/TXT\/?uri=CELEX:32016R0679\" target=\"_blank\" rel=\"noreferrer noopener\">General Data Protection Regulation<\/a>. In the event of violations of EU consumer rights, these entities are allowed to bring representative actions for seeking both injunctive measures as well as redress measures.
