Below you will find an overview of the most important aspects of the new law:<\/p>\n<h2>1. Objectives<\/h2>\n<p>The <a href=\"https:\/\/eur-lex.europa.eu\/legal-content\/EN\/TXT\/?qid=1597150310376&amp;uri=CELEX:32019R0452\">European Union\u2019s Foreign Direct Investments Regulation (452\/2019)<\/a> has been in force since April 2019 and will be fully applicable from October 11, 2020. It provides for the EU-wide exchange of information and cooperation between the member states concerning the <strong>review of foreign direct investments<\/strong>. This regulation does not affect the right of the member states to review the content of foreign direct investments. Against this background, the Austrian legislator has decided to <strong>comprehensively reorganize the control of foreign direct investments.<\/strong> The regulations are compiled in the <a href=\"https:\/\/www.ris.bka.gv.at\/GeltendeFassung.wxe?Abfrage=Bundesnormen&amp;Gesetzesnummer=20011250\">Investment Control Act<\/a>\u00a0[German] (InvKG, BGBl I 87\/2020). The relevant provisions of the <a href=\"https:\/\/www.ris.bka.gv.at\/GeltendeFassung.wxe?Abfrage=Bundesnormen&amp;Gesetzesnummer=20007221\">Foreign Trade Act<\/a> (Au\u00dfWG 2011, BGBl I 26\/2011 idF BGBl I 87\/2020) have also been changed.<\/p>\n<h2>2. Main content<\/h2>\n<p>At the center of the InvKG is Section 2: According to this, a foreign (i.e. third-country) direct investment (i.e. indirect or direct acquisition of a company within the meaning of the Uniform Commercial Code (UGB) with its place of business \/ headquarters in Austria) <strong>requires approval from the Federal Minister for Digital and Economic Affairs<\/strong> in any of these cases:<\/p>\n<ol>\n<li>\n<p id=\"tw-target-text\" class=\"tw-data-text tw-text-large XcVN5d tw-ta\" dir=\"ltr\" data-placeholder=\"\u00dcbersetzung\"><span lang=\"en\">the target company is active in one of the <strong>sensitive areas<\/strong> mentioned in the annex (defense, critical infrastructures, etc.) and<\/span><\/p>\n<\/li>\n<li>\n<p id=\"tw-target-text\" class=\"tw-data-text tw-text-large XcVN5d tw-ta\" dir=\"ltr\" data-placeholder=\"\u00dcbersetzung\"><strong>Union and international law regulations<\/strong> do not preclude an authorization requirement and<\/p>\n<\/li>\n<li>in direct investment<\/li>\n<\/ol>\n<p style=\"padding-left: 60px;\">a) through the acquisition of voting rights, a <strong>minimum share<\/strong> of <strong>10% to 50%<\/strong> of the voting rights (depending on sensitivity) is exceeded,<\/p>\n<p style=\"padding-left: 60px;\">b) a <strong>controlling influence<\/strong> is obtained regardless of specific voting rights or<\/p>\n<p style=\"padding-left: 60px;\">c) a controlling influence on these parts of the company is acquired through the <strong>acquisition of significant assets<\/strong>.<\/p>\n<p>&nbsp;<\/p>\n<p>In these cases, there exists an <strong>obligation to notify<\/strong> the Federal Minister of the transaction and to submit an authorization request.<\/p>\n<p>The ensuing examination procedure <strong>focuses on the endangerment of public safety and order<\/strong>. With regard to the interpretation of these terms, the legislator refers to the relevant <a href=\"http:\/\/curia.europa.eu\/juris\/liste.jsf?language=en&amp;jur=C%2CT%2CF&amp;num=c-536\/17&amp;parties=&amp;dates=error&amp;docnodecision=docnodecision&amp;allcommjo=allcommjo&amp;affint=affint&amp;affclose=affclose&amp;alldocrec=alldocrec&amp;docdecision=docdecision&amp;docor=docor&amp;docav=docav&amp;docsom=docsom&amp;docinf=docinf&amp;alldocnorec=alldocnorec&amp;docnoor=docnoor&amp;docppoag=docppoag&amp;radtypeord=on&amp;newform=newform&amp;docj=docj&amp;docop=docop&amp;docnoj=docnoj&amp;typeord=ALL&amp;domaine=&amp;mots=&amp;resmax=100&amp;Submit=Rechercher\">case law of the ECJ<\/a> or to the recently published guidelines of the <a href=\"https:\/\/trade.ec.europa.eu\/doclib\/docs\/2020\/march\/tradoc_158676.pdf\">European Commission<\/a>.\u00a0<span lang=\"en\">The mere threat to competition or the economy is therefore not a sufficient reason to refuse an investment. The commission emphasizes &#8211; obviously motivated by the Corona crisis &#8211; among other things the importance of the <strong>supply of medicines<\/strong> and <strong>medical protective equipment<\/strong>. A risk can also arise from the fact that a person has already been involved in criminal activities in the past or is controlled by the government of a third country.<\/span><\/p>\n<p>The <strong>examination procedure<\/strong> is divided into <strong>two phases<\/strong>: One month after the notification of the transaction process, the Federal Minister decides whether to initiate the examination procedure and informs the company concerned. If an in-depth examination is carried out (second phase), this must also be communicated to the company. The Federal Minister has to reach a decision within two months.<\/p>\n<p>Moreover, a <strong>committee<\/strong> for investment control is set up to support the Federal Minister. This committee is made up of representatives from the federal and state governments.<\/p>\n<p>It is forbidden to carry out the investment before the approval has been granted (<strong>\u201cprohibition of execution\u201d<\/strong>). In the event of a premature implementation, the transmission of incorrect information or the violation of a decision, there is a <strong>risk of imprisonment.<\/strong><\/p>\n<h2>3. Practical issues<\/h2>\n<p>Overall, the InvKG raises various practical issues:<\/p>\n<ul>\n<li>According to Section 5 (1) InvKG, the voting rights in the target company must be added together in the case of a <strong>joint acquisition<\/strong> by several foreign companies. This raises the question which business arrangements come under the term \u201cjoint acquisition\u201d and how to deal with the simultaneous acquisition of voting rights and assets (&#8220;mixed share and asset deals&#8221;) by several foreign companies.<\/li>\n<li>The appendix to the InvKG contains numerous \u201cparticularly sensitive areas\u201d in which investment control should take effect. In this list, some areas are formulated very broadly (\u201cwater\u201d), while others are very narrowly defined (\u201coperation of 5G infrastructure\u201d).
