Handbook of Contractual Forms


The latest (second) edition of the Handbook of Contractual Forms, edited by Prof. Ferdinand Kerschner, has just been published. Our Partners Daniela Huemer, Dietmar Lux, Christoph Szep and Paralegal Manfred Trausner have contributed several chapters on contracts for the formation of various types of corporations.

The book features contract forms and also provides explanations for numerous common and important contractual clauses (e.g. revaluation clauses, warranty clauses concerning contaminated sites, contractual penalties, arbitration and jurisdiction clauses). Furthermore, it deals with fundamental questions concerning the drafting of contracts in general.

The book aims at legal practitioners as well as at laymen interested in the field. Therefore, our team of authors had the ambition to draft the (model) contracts true-to-life and to explain the meaning and rationale behind the relevant clauses in an easily readable and accessible manner.
